After activist Ancora’s campaign, Forward Air directors have left the board

Forward Air announced on Thursday that three of its directors were leaving the board. Ancora Holdings, an activist investor, had launched a campaign against them, as it pushed the freight forwarder towards considering alternative business models.

Selling itself

Ancora asked shareholders to not vote for three directors during the annual shareholder meeting on Wednesday. George Mayes who was the former board chairman failed to get enough votes to be reelected.

He was forced to resign by company guidelines. The company stated that the other two directors targeted, Javier Polit, and Laurie Tucker were reelected, but they chose to resign right away.

Ancora launched "withhold the votes" last month. Ancora owns about 4% of Forward Air.

Campaign to Encourage the Use of Alternatives

To force the three out for their role in an unpopular purchase and accelerate a company sale. Directors must resign when they get less than 50% support from shareholders in a vote. (Reporting and editing by Anil D’Silva, Sharon Singleton and Svea Herbst–Bayliss in Bengaluru)
