DOF Group to acquire Maersk Supply Service for $1.11 billion

Norwegian supply shipping business DOF Group has accepted purchase offshore marine service provider Maersk Supply Service (MSS) from Maersk Supply Service Holding (MSSH) for $1.11 billion in a money and stock offer, it said on Tuesday.

As part of the offer, DOF will pay $577 million in money and provide new shares. MSSH, a subsidiary of A.P. Moeller Holding, will own 25% of DOF's shares following the transaction, the declaration said.

DOF included that it will implement the offer through a new subsidiary, DOF Offshore Holding Denmark ApS.

The combined business will run under DOF's name and will be noted on the Oslo Stock Exchange, the declaration stated, adding that it expects the deal to close during the 4th quarter of this year.

DOF said it plans to fund the offer through a $500. million financial obligation facility and will raise as much as $125 million in. equity. The deal does not include MSS' operations in. Brazil, it included.

The announced deal today marks a tactical turning point. for the DOF Group, driven by a strong industry reasoning and a. shared vision with A.P. Moller Holding, who will indirectly. become a significant shareholder, stated DOF CEO Mons Aase.
